new DFI Ultra-D setup won't boot

Hi,

I just received a new Ultra-D, Opteron 165, video card. I've installed the mobo, cpu, RAM (4x512 PC 4000), and the PCIE video card. I'm using 535w 24-pin PSU. I've plugged in the 24-pin & 12V connectors on the mobo. Everything except the RAM is brand new. When I tried to boot the first time, it didn't, not even a beep from the speaker and the video never even synced. I got 2 of the 5 diag leds lit, along with 1 amber led to the right of the diag leds and another amber led indicating DRAM power.

The manual does not state what the diag leds stand for. I'm hoping their pointing me to whats inhibiting the system from booting.

Any clues on what might be wrong?

One stick of ram in the orange slots, you also need to plug in the floppy connector and the 4 Pin molex, into the MOBO.

Ok, tried just a single stick of memory ... same result.

For the heck of it, I tried no memory and I got 3 leds on, and then the mobo repeatedly short beep about every 5 secs, but still no video.

EDIT: I also connected the IDE and FDD power from the supply. It didn't affect the results however.

I also noticed that when I first apply power, and memory is installed, I get 3 leds on, the 4th blinks 1 or 2 times, then stays off, then the 3rd goes off, leaving 2 that remain on.

I've swapped memory sticks in and out of slot 1, with no change in the problem.

What do the leds mean?

RE-EDIT: Ok, I found the leds described in the manual. I guess I'm tired.

2 leds ON appears to be telling me that the mobo detected the CPU and RAM, but is not detecting the video card. It just so happens I have a 2nd PCIE video card, also new. So I gave it a try and post still stops with 2 leds ON and no video output. What are the odds of 2 video cards being bad? Pretty small I think. So what would prevent the mobo from detecting the cards? Is the CPU required to detect the video? Does the mobo detecting the CPU mean thats its functional? Could it be the PCIE1 slot? Can a video card be used in PCIE4?

To restate the setup I have:
- AMD Opteron 165 HSF
- DFI UT nF4 Ultra-D
- 2GB (4x512MB PC4000) RAM
- XFX GeForce 6500
- Enermax FMA 535w
